Truworths shareholders approved the company’s remuneration report with 75.54% of votes cast in favour and 24.46% against, according to voting results released on Friday.

The annual general meeting took place on Thursday, 5 November 2026. All ordinary and special resolutions passed, the retailer said.

The separate remuneration policy received 77.13% support, with 22.87% opposed. These percentages refer to votes cast on each resolution, excluding abstentions, rather than the company’s entire issued share capital.

A total of 299,480,906 shares were represented in person or by proxy at the meeting, accounting for 82.76% of shares eligible to vote.

Shareholders also approved a limited and conditional authority for the company or its subsidiaries to acquire its shares, with 97.54% support. That vote grants authority; it does not establish that a new repurchase has occurred.

The company’s announcement did not explain shareholders’ reasons for opposing the remuneration proposals. The figures alone do not establish a particular dispute over executive pay.
